PART 1: TERMS OF SERVICE
1. Introduction
These Terms of Service ("Terms") govern cloud consulting, migration, and managed services by Cidarnet Technologies Ltd ("Cidarnet", "we"), RC 7788223. Address: 4 Lanre Olumide Street, Idado Estate, Lagos, 101233.
2. Services
Cidarnet provides: (a) cloud migration and modernization; (b) AWS infrastructure design and management; (c) DevOps and CI/CD implementation; (d) security and compliance consulting; (e) cost optimization; (f) managed cloud services. All governed by project-specific SOWs.
3. Engagement and SOW
Each engagement defined by SOW: scope, deliverables, timeline, acceptance criteria, fees, payment terms. Signed before work begins. Changes require written Change Order.
4. Fees and Payment
USD or NGN per SOW. Invoiced monthly or per milestone. Due within 14 days. Late: 1.5%/month interest. Services suspended after 30 days unpaid.
5. Client Obligations
(a) Provide infrastructure access and documentation; (b) designate decision-making contact; (c) provide AWS IAM access (not root); (d) review deliverables within 5 business days; (e) protect Cidarnet's proprietary methods.
6. Intellectual Property
Cidarnet retains methodologies, frameworks, tooling. Infrastructure in Client's AWS account becomes Client's property on payment. Custom work licensed to Client on payment.
7. Confidentiality
Both parties protect confidential information. Survives 3 years after termination. Engineers sign individual NDAs.
8. Data Protection
NDRP and NDPA compliant. Access Client infrastructure for service delivery only. No data stored or exported from Client's AWS. Client data stays in Client's account.
9. Security
IAM roles, least-privilege, MFA, time-limited sessions. CloudTrail logging. Professional indemnity and cyber liability insurance.
10. Limitation of Liability
Capped at 12 months fees. Not liable for: AWS outages, Client-caused issues, business decisions, third-party failures. Liable for: negligent misconfiguration, data loss from our direct actions.
11. Termination
30 days notice. Immediate suspension for non-payment (30-day grace). Completed work delivered. Client retains AWS access. Prorated refund for incomplete milestones.
12. Dispute Resolution
legal@cidarnet.com first. Unresolved in 21 days: Lagos arbitration.
13. Governing Law
Federal Republic of Nigeria. Lagos State courts.
14. Amendments
30 days notice. Existing SOWs governed by Terms at execution.

PART 2: PRIVACY POLICY
1. Introduction
Cidarnet Technologies Ltd complies with NDPR 2019 and NDPA 2023.
2. Data We Collect
(a) Contact data: name, email, phone, company. (b) Project data: infrastructure details during engagements. (c) Website data: anonymised analytics. (d) Communications: emails, project notes.
3. How We Use Data
(a) Respond to enquiries; (b) deliver services; (c) project communications; (d) anonymised improvement. No selling to marketers or brokers.
4. Data Sharing
(a) AWS: via Client's IAM. (b) Accounting software: billing. (c) Law enforcement: legal process only. Never share client infrastructure details.
5. Client Infrastructure
All work in Client's AWS. No data copied or exported. Time-limited MFA access. CloudTrail logged. Access revoked on completion.
6. Security
TLS in transit. Encrypted systems. Regular reviews.
7. Retention
Contact: relationship + 2 years. Projects: 3 years. Analytics: 12 months anonymised. Deletion: legal@cidarnet.com, 14 days.
8. Your Rights
Access, correct, delete, withdraw consent, complain to NITDA. Contact: legal@cidarnet.com.
9. Cookies
Essential only. Anonymised analytics. No advertising.
10. Changes
"Last updated" date reflects latest revision.
